Terms of service

These Terms of Service outline the general policies and conditions that apply to all projects, retainers, and collaborations with our studio.

By engaging our services or paying any invoice, you agree to these terms. Our goal is to maintain clear communication, mutual respect, and transparency throughout every creative partnership.

1. Scope of Services

The Brite Studio provides creative and strategic services including, but not limited to, brand design, web design, UX/UI design, strategy, consulting, and workshops. Each project’s specific deliverables, scope, and fees are defined in a written proposal or quote, which forms part of these Terms once approved. We offer both once-off projects and ongoing retainers. Sprint-based UX/UI work is billed separately as detailed under Payment Terms.

2. Revisions and Deliverables

Fixed-fee projects include a set number of revisions as outlined in the proposal. Additional revisions or changes beyond scope will be billed at our hourly rate. UX/UI sprints are sold as 40-hour blocks. Once sprint hours are complete, a new sprint must be purchased to continue work. A project is considered complete once the client has approved the final design or milestone deliverable in writing. Source files are not provided unless specifically agreed upon; only final deliverables are supplied.

3. Client Responsibilities

To ensure smooth progress, clients are required to provide all necessary assets—such as branding materials, copy, and imagery—by the agreed dates. Delays in feedback or content submission will affect the project timeline. If key materials are not received within 20 days, The Brite Studio reserves the right to terminate the project and retain deposits to cover time and opportunity costs. Milestone approvals are required before proceeding to the next phase of work.

4. Payment Terms

Fixed-fee projects require a 50% deposit upfront and the balance upon completion.

UX/UI sprints are payable in full upfront before work begins

All invoices are due as stated on the invoice.

Payments overdue by more than 30 days incur a 10% late fee.

A small studio overhead fee may be applied to each project to cover operational costs such as admin, software, and utilities. This fee is non-refundable. No work will commence without the required payment. All creative work remains the property of The Brite Studio until paid in full.

5. Ownership and Usage Rights

All intellectual property remains the property of The Brite Studio until full payment is received. Once paid in full, ownership of the final approved deliverables transfers to the client. The studio retains the right to discreetly showcase the work for portfolio purposes after it has gone live. Prior to public release, the work may be shared privately for business development or internal reference only. Any third-party assets (such as fonts, images, or templates) remain bound by their original licenses.

6. Timelines and Delays

Project timelines act as a flexible guide. We make every effort to meet agreed deadlines, but timelines depend on timely client feedback and content delivery. If the client misses key feedback windows, deadlines will shift accordingly and may impact other scheduled projects. In cases of cancellation after work has begun, The Brite Studio will retain all payments already made, including deposits.

7. Confidentiality

Both parties agree to protect and maintain the confidentiality of all materials, conversations, and proprietary information shared during the course of a project. This obligation continues even after the project is completed.

8. Termination

Either party may terminate the working relationship with one week’s written notice. If cancellation occurs before any work has begun and within one week of project confirmation, deposits may be refunded. Once work has started, deposits and fees for completed work are non-refundable.

9. Limitation of Liability

The Brite Studio provides all work in good faith and to professional standards. However, we cannot guarantee specific outcomes such as sales, search performance, or business results. We are not liable for any indirect, incidental, or consequential losses resulting from the use of our work. Total liability shall not exceed the amount paid for the specific project in question.

10. Dispute Resolution

If a disagreement arises, both parties agree to first attempt resolution through direct communication. If unresolved, the matter will be referred to mediation in the Western Cape before any legal proceedings. These Terms are governed by the laws of South Africa, and jurisdiction falls under the Western Cape courts.

11. General Provisions

The Brite Studio may update these Terms periodically. The version in effect at the time of invoicing applies to the project.

Email communication is considered legally binding for feedback, approvals, and milestone confirmations.

Changes in project scope or deliverables may affect cost and timelines.

These Terms cannot be assigned or transferred without written consent.

12. Acceptance of Terms

By paying any invoice or deposit issued by The Brite Studio (Pty Ltd), you acknowledge that you have read, understood, and agreed to these Terms of Service. Payment constitutes acceptance of this Agreement, even without a physical signature.
